Terms
NICO is a concierge technology service. It helps you find, arrange and keep track of things. It is not the restaurant, the hotel, the airline or the driver — and these Terms are careful about the difference.

These Terms are an agreement between you and Nico LLC ("NICO", "we", "us"). By using NICO — through a messaging channel or through our website — you agree to them. If you do not agree, please do not use the service.
NICO is intended for adults and for business use. You must have the legal capacity to enter into this agreement, and you must not be barred from using the service under applicable law.
You must be at least 18 years old to use NICO. NICO is not intended for children, and we do not knowingly provide the service to anyone under that age. By using NICO you confirm that you meet this age requirement.
NICO is an intermediary and an assistant. It searches, compares, checks availability, prepares requests, keeps track of commitments, and — where a route exists — hands a booking to you or to the business to complete. NICO is not the merchant for restaurant, hotel, airline, transport or other third-party services, and it does not become a party to your contract with those businesses unless we expressly say otherwise for a particular transaction.
Your NICO account is the single relationship behind every channel you link to it. Keep control of the messaging accounts and devices you use to reach NICO — anyone with access to them can issue instructions in your name. Tell us promptly if you think that has happened.
Access to NICO is provided through a membership plan. A plan may include a request allowance and a level of concierge support. Plan features, allowances and limits are those set out in the plan you hold at the time.
Some actions cost us materially more to perform than ordinary conversation — for example checking live availability with a paid provider, or research that consumes third-party services. Execution credits are the internal unit we use to meter that kind of work.
Credit and plan pricing is not stated in these Terms. It comes from the production pricing configuration and is presented to you at the point of purchase.
A personal account is yours. Its memory, requests, saved places and credits belong to your personal context and are not exposed to any organization context.
Organization and team functionality is not available at this time. When it becomes available, it will be governed by a separate Team Terms addendum covering administrators, authorized users, organization memory, organization credits and organization-authorized purchases. That addendum will supplement these Terms; it will not require you to re-accept them for personal use.
You ask; NICO works on it. We will use reasonable efforts to fulfil a request, but we do not guarantee any particular outcome. Some requests cannot be completed — a restaurant may be full, a provider may not cover a city, a business may not respond.
NICO uses AI models alongside ordinary software, external APIs and, where a request is escalated, people. AI output can be wrong. Check anything that matters — times, dates, prices, addresses, cancellation terms — before you rely on it. NICO is designed to tell you plainly what it has and has not actually done, and you should treat anything it has not confirmed as not yet done.
Your dealings with a third-party business are between you and that business, on its terms. We are not responsible for its performance, its pricing, its cancellation policy or its conduct.
NICO is not a travel agency, a tour operator, a restaurant, a hotel or a carrier, and does not hold itself out as the provider of those services. Where NICO surfaces options, it does so as an assistant helping you choose.
Availability, prices and terms come from external providers and change constantly. NICO treats availability as current only for a short window and re-checks before a commitment; where it is describing something it saw earlier, it will say so. Even so, an option can disappear between NICO seeing it and you taking it.
A reservation exists only when the business confirms it. NICO does not guarantee a reservation, and a shortlist, a held intention or a suggested time is not a booking.
For many venues there is no legitimate route for NICO to submit a booking directly. In those cases NICO prepares everything and gives you a verified route to complete it yourself — a recognised reservation provider or the venue's own confirmed site. NICO keeps the intention on file, so when you come back and say it is done, it knows which booking you mean. Completing the transaction, and the terms on which you complete it, are yours.
Some requests are escalated to an authorised member of our team. Where that happens, that person may review the relevant conversation in order to help you. Human assistance is subject to your plan and to availability.
NICO does not place telephone calls to businesses on your behalf today. If we introduce that capability, we will describe how it works, what is recorded and what consent is required before making it available.
Membership prices, billing intervals and any charges for additional execution are those presented to you at the point of purchase. Amounts charged by a third-party business are paid to that business, not to NICO.
Where a membership renews automatically, it renews for the same interval at the price then in force, unless you cancel before the renewal date. We will give notice of a renewal or a price change where the law requires it.
You can cancel your membership. Cancellation takes effect at the end of the current billing period unless applicable law or the plan says otherwise, and access continues until then.
Statutory withdrawal and refund rights apply where the law gives them to you, including consumer-law cancellation rights in the EEA and the UK. Outside those rights, refunds are at our discretion.
A restaurant, hotel or airline sets its own cancellation, deposit and no-show terms. Those terms bind you directly, and NICO cannot waive them. Where NICO knows the terms it will tell you; you should confirm them with the business.
We may suspend or terminate access where these Terms are breached, where there is a security or legal risk, or where required by law. Where it is reasonable to do so, we will tell you why and give you an opportunity to put it right.
NICO, its software, its interfaces and its brand belong to us. You keep your own content. You grant us the licence needed to process your content in order to provide the service.
If you send us suggestions, we may use them without obligation or compensation. You do not lose any rights you already had in what you sent.
To the extent permitted by law, NICO is provided "as is". We do not warrant that the service will be uninterrupted or error-free, that AI output will be accurate, that availability shown will still be available, that a reservation will be obtained, or that a third party will perform. Nothing here excludes a warranty that cannot be excluded under applicable law.
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue or opportunity, arising from your use of NICO or from a third party's acts or omissions. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited.
Where liability may lawfully be limited, our total aggregate liability to you is capped at The greater of USD $100 or the total amount you paid directly to NICO in the 12 months immediately before the event giving rise to the claim.
Amounts paid to restaurants, hotels, airlines, transport operators or other third-party merchants are not amounts paid to NICO. Execution credits purchased directly from NICO are.
This cap does not apply where applicable law does not permit it, and it does not remove any mandatory consumer right.
LEGAL REVIEW RECOMMENDED — the final wording of this clause is subject to legal review.
Where legally permitted, and other than in your capacity as a consumer where local law says otherwise, you agree to indemnify us against claims arising from your misuse of NICO, your breach of these Terms, or your providing information about another person without authority.
If you use NICO as a consumer, you keep every right your local law gives you. Nothing in these Terms removes or reduces a mandatory consumer right, and where a term conflicts with such a right, the right prevails.
These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law principles, except where mandatory consumer-protection laws in your jurisdiction give you rights that cannot lawfully be waived. If you are a consumer, this does not deprive you of the protection of the mandatory law of the country where you live.
Please contact us first — most matters are resolved quickly. Disputes that cannot be resolved will be handled in [dispute forum to be determined]. Nothing here affects your right to bring a qualifying claim in small-claims court, to complain to a regulator, or to any remedy that cannot lawfully be waived.
OWNER / LEGAL REVIEW REQUIRED — no binding arbitration clause and no class-action waiver is in force. None applies unless and until it is stated here.
We version these Terms. Editorial changes do not create a new agreement. Where a change is material, we will give notice and, where required, ask you to accept the new version before continuing.
